Agreement to terms

By accessing or using the website located at gania.framer.website (the "Site"), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not access the Site. These terms apply to all visitors, clients, and any other individuals who access or use the Site or our services.

Gania Studio reserves the right to update or modify these Terms at any time without prior notice. Your continued use of the Site following any changes constitutes your acceptance of the revised terms. We encourage you to review these Terms periodically.

Services & scope of work

Gania Studio provides branding, creative design, product design, and motion & video services. All scopes of work, deliverables, timelines, and fees are agreed upon in a separate project proposal or service agreement ("Agreement") provided to each client prior to the commencement of work.

Services described on this Site are for informational purposes only and do not constitute a binding offer. Gania Studio reserves the right to decline any project request at its sole discretion. No engagement is considered active until a signed Agreement and confirmed deposit are received.

Intellectual property

All content on this Site — including but not limited to text, graphics, logos, images, video, and design assets — is the exclusive property of Gania Studio or its content partners, and is protected under applicable copyright and intellectual property laws.

Upon full payment of all agreed fees, clients are granted a non-exclusive, perpetual license to use the final deliverables as outlined in their project Agreement. Preliminary work, concepts, and rejected designs remain the property of Gania Studio and may be used in the Studio's portfolio, case studies, or promotional materials unless otherwise agreed in writing.

Payment & fees

Pricing for all services is established in the client's project Agreement. Gania Studio requires a non-refundable deposit of 50% of the total project fee before work commences. The remaining balance is due upon final delivery of approved assets, unless otherwise specified.

Invoices not settled within 14 days of the due date may incur a late fee of 1.5% per month on the outstanding balance. Gania Studio reserves the right to pause or withhold delivery of work until outstanding payments are resolved. All prices are listed in EUR unless expressly stated otherwise.

Client responsibilities

Clients are responsible for providing accurate, complete, and timely information, feedback, and approvals as required throughout the project. Delays caused by the client — including late feedback, withheld content, or prolonged approval cycles — may result in revised timelines and additional fees, communicated via a formal change request.

Clients warrant that any materials, assets, or content provided to Gania Studio for use in a project do not infringe upon any third-party intellectual property rights. Clients agree to indemnify Gania Studio against any claims arising from such materials.

Revisions & change requests

Each project Agreement specifies the number of revision rounds included within the agreed fee. Revision requests beyond the allocated rounds will be scoped and billed separately at Gania Studio's standard hourly rate, currently set at €120 per hour.

A revision is defined as a minor amendment to an approved direction. Requests that constitute a significant change in creative direction, scope, or deliverables will be treated as a new project phase and quoted accordingly.

Confidentiality

Both parties agree to treat as confidential any proprietary or sensitive information shared in the course of a project engagement. Gania Studio will not disclose client information to third parties without prior written consent, except as required by law.

Portfolio usage of completed work is permitted by default unless the client requests a non-disclosure or embargo in writing before the project commences. Any such request must be agreed upon in the project Agreement.

Limitation of liability

Gania Studio's total liability to any client under or in connection with a project Agreement shall not exceed the total fees paid by the client for that specific project. In no event shall Gania Studio be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services or deliverables.

Gania Studio makes no warranties, express or implied, regarding the commercial success, performance, or results achieved through the use of delivered creative work.

Termination

Either party may terminate a project engagement with 14 days' written notice. In the event of termination by the client, all fees for work completed up to the termination date are due and payable. The non-refundable deposit will not be returned.

In the event of termination by Gania Studio due to client breach of these Terms or the project Agreement, the client forfeits all deliverables not yet formally approved and transferred. Gania Studio reserves the right to terminate any engagement immediately in cases of abusive conduct or unethical business practices.

Governing law

These Terms and Conditions are governed by and construed in accordance with the laws of France. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Paris, France.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
